This English version is provided for convenience. In case of any discrepancy, the Swedish version is the legally binding one. Prices are shown in EUR for reference; statutory amounts remain in SEK.
These general terms ("Terms") apply to services provided by Damberg & Friends AB(company reg. no. 559533-1934), hereinafter "Webbtoppen", "we" or "us", to business clients ("the Client", "you"). By entering into an agreement with us or using our services you accept these Terms.
1. The service
Webbtoppen provides web development services — primarily the production of websites and e-commerce solutions, technical maintenance, advisory and related services. The scope, delivery time and price of the services are governed by the specific quote or agreement entered into in each individual case ("the Quote"). In the event of a conflict between the Quote and these Terms, the Quote takes precedence.
2. Formation of the agreement
An agreement is considered formed when the Client has accepted the Quote in writing via email or equivalent, or when the Client has paid the first invoice.
3. Workflow
A project normally follows five steps — the same steps we present on our homepage:
- Consultation. A free meeting where we go through your goals, your audience, any existing site and which technology fits.
- Quote & agreement. A written quote with price, scope and timeline — normally within 2 business days.
- Build & feedback. Iterative development with staging links and prototypes. You watch the site take shape and give feedback along the way.
- Launch. Domain, email, analytics, SEO foundation and Search Console in place before we go live. The Client chooses where the site is hosted (see section 4).
- Operations and further development. If Webbtoppen handles the hosting, technical operational issues on our side are fixed at no extra cost. Other questions, adjustments and further development are billed by the hour in accordance with sections 4–5.
4. Price, VAT and payment
VAT: Damberg & Friends AB currently applies the small-business VAT exemption under the Swedish VAT Act — the company's turnover is below the threshold of SEK 120,000 per tax year and we have not voluntarily registered for VAT. The prices stated on the site and in the Quote are therefore final prices for the Client; no VAT is added. Should turnover pass the VAT threshold during the contract term, we will notify you in writing before VAT starts being added to future invoices; already-concluded fixed-price agreements are not affected.
Pricing models. We work according to one of two models, decided in the Quote:
- Ongoing hourly rate. Work is charged by the hour (currently €35/h) and invoiced monthly in arrears. Suits ongoing work, changes and further development. No lock-in.
- Fixed project price (package). An agreed fixed price for a defined project. The full amount is invoiced when the agreement is signed and must be paid — together with submission of all relevant material to be communicated through the website, including images, text, prices and logo — before we start the project. The reason is that the package prices are extra keen and calculated for a simple, smooth delivery without bottlenecks; a project waiting for material costs us time we haven't accounted for. The fixed price covers only the scope stated in the Quote.
Payment terms: advance payment for a fixed project price (as above); 20 days net from the invoice date for the ongoing hourly rate. Late payment incurs interest under the Swedish Interest Act and a reminder fee of SEK 60.
Hosting and domain are not included in the price. The Client owns the site and chooses where it is hosted — Webbtoppen delivers the code. We can set up hosting at the Client's own provider for an administrative fee (currently €50), or offer ongoing hosting via Vercel for €20/month (invoiced monthly, no lock-in).
Summer offer. For agreements signed no later than 1 August 2026, a discount of €50 is given on the first invoice. The discount is applied automatically, applies once per client and cannot be combined with other offers.
5. Content template and the Client's material delivery
Ahead of project start, Webbtoppen sends out a structured content template (usually a Google document or equivalent) for the Client to fill in. The template covers the material needed to build the site with the content important to the Client — such as text per page, images, logo, prices, brand guidelines, contact details and any integrations.
The Client is responsible for filling in the template completely before the project starts. For a fixed project price, the package price assumes that Webbtoppen receives a fully completed template and all material delivered in the same batch — that is what the keen package price is calculated for.
6. What's included — and additional work
The fixed price (or the estimated hourly budget) covers only what is expressly promised in the Quote and what the Client specified in the content template before project start. The following counts as additional work, is ordered separately by the Client and is billed at the hourly rate (currently €35/h):
- Content or details the Client wants to add afterwards that were not in the completed content template — for example new text, additional images, price lists or sections not specified in advance. Small things can often be added quickly, but the boundary is important for the project to be delivered within the package price.
- Material submitted after project start (text, images, logos etc.) that requires us to insert it manually.
- Extra revisions and requests that arise after the first delivery.
- Changed or expanded scope compared to the Quote.
- New features, pages or integrations.
- Questions, troubleshooting, adjustments and further development after final delivery — billed by the hour. However, if Webbtoppen handles the hosting, technical operational issues on our side are fixed at no extra cost.
During the project the Client has one (1) feedback round on a staging link included in the fixed price; further larger revisions are billed by the hour. Larger additional work is always documented in a written addendum before work begins.
7. Our responsibility and delivery
Webbtoppen is responsible for:
- performing the service professionally and according to the scope stated in the Quote,
- keeping the Client informed of status and timeline during the project,
- at launch, handing over code, design and relevant accounts in the Client's own name,
- remedying faults and defects in the delivered work in accordance with section 10.
Delivery time is stated in the Quote. We do our best to keep the delivery plan but reserve the right to delays caused by circumstances beyond our control, including late feedback from the Client, changed scope, external providers (e.g. domain registrars, payment providers) or force majeure.
8. The Client's responsibility
The Client is responsible for:
- Filling in the content template Webbtoppen sends (text, images, logo, prices, brand guidelines etc.) completely before the project starts (applies to fixed-price projects; for the ongoing hourly rate, material is delivered continuously by agreement).
- Specifying in advance what the site should contain and how it should be presented; content or details not in the completed template that you want to add afterwards are handled as additional work at the hourly rate per section 6.
- Answering questions and approving milestones within a reasonable time (normally 5 business days).
- Owning the rights to the material provided or holding the necessary licences.
- Ensuring that its own content does not infringe third-party rights or break the law.
- Being responsible itself for domain name, email operations and third-party services in its own name once handover has taken place.
9. Intellectual property
Upon full payment, ownership of the developed client-specific code, design and content passes to the Client. General tools, frameworks, templates, code libraries and "know-how" that Webbtoppen uses in its work remain Webbtoppen's property, and the Client receives a perpetual, royalty-free licence to use these as part of the delivered work. Open source components are subject to their respective licences.
Webbtoppen may reference the assignment in its portfolio (company name, site URL, any description) unless the Client objects in writing.
10. Limitation of liability
Webbtoppen is responsible for faults and defects in the delivered work for up to 3 months after delivery/launch. Faults caused by the Client's own changes, third-party providers or lack of maintenance after delivery are not covered.
Webbtoppen's total liability for damages is, regardless of cause, limited to 50% of the total fee for the assignment in question. We are not liable for indirect damage, loss of profit, consequential damage or damage caused by interruptions at third-party providers.
11. Confidentiality
Both parties undertake not to pass on confidential information about the other party obtained within the scope of the collaboration. This also applies after the agreement ends.
12. Personal data
When processing personal data we comply with the GDPR. See our privacy policy. When we process personal data on the Client's behalf, we enter into a separate data processing agreement.
13. Termination
Ongoing hourly agreements can be terminated by either party with 30 days' written notice. If a fixed-price project is cancelled by the Client before final delivery, work already performed is not refunded; any unperformed work is refunded within 30 days.
14. Force majeure
Neither party is liable for delay or failure to deliver due to circumstances beyond the party's control, such as government decisions, natural disasters, strikes, war, extensive internet outages or the like.
15. Disputes and governing law
These Terms are governed by Swedish law. Disputes concerning the Terms shall primarily be resolved through dialogue. If the parties cannot agree, the dispute shall be settled at Gothenburg District Court as the first instance.
